Terms of Service Arkham Technologies INC.

1. Overview

These Terms of Service (“Terms”) govern the use of Arkham Technology. Inc’s software as a service (SaaS) solutions provided exclusively to business clients (“Clients”) under a Master Services Agreement (“MSA”). These services are not offered to the general public.

2. Definitions
  • "Services" refer to the SaaS solutions provided by Arkham Technology. Inc.
  • "Client" refers to the business entity using the Services as agreed in the MSA.
  • "MSA" refers to the binding agreement outlining the full terms and conditions between the parties.
3. Scope of Services
  • The Services are available only to Clients who have executed an MSA with Arkham Technology.
  • Inc. Arkham Technology. Inc does not offer publicly accessible or consumer-facing subscription services.
4. Usage Restrictions
  • Clients may only use the Services for business purposes in compliance with the MSA.
  • Unauthorized access, distribution, or sharing of the Services is prohibited.
5. Client Obligations
  • Clients must provide accurate and current information during onboarding.
  • Clients are responsible for securing their credentials and maintaining the confidentiality of access credentials provided to its employees.
6. Data Privacy and Security
  • Clients must provide accurate and current information during onboarding.

7. Intellectual Property
  • All intellectual property rights in the Services remain with Arkham Technology. Inc.
  • Clients receive a limited, non-exclusive, and non-transferable right to use the Services.
8. Limitation of Liability
  • Arkham Technology. Inc is not liable for indirect, incidental, or consequential damages, as outlined in the MSA.
9. Modifications to Terms
  • Arkham Technology. Inc reserves the right to update these Terms to meet regulatory requirements or improve the clarity of the Services. Clients will be notified of significant changes.
10. Governing Law
  • These Terms are governed by the laws of the State of New York or the jurisdiction otherwise agreed upon in the Master Services Agreement (MSA). Any disputes arising from or related to these Terms shall be resolved in accordance with the dispute resolution provisions outlined in the MSA.
